GENERAL CONTRACTUAL TERMS of the www.goodboog.com portal

Introduction

  • www.goodboog.com is a public internet portal (hereinafter referred to as the “portal”) operated by the portal operator (hereinafter referred to as the “portal operator” ) offering on-line business information about business entities whether incorporated or not, their products and services to the general public (hereinafter referred to as the “user/s”) by means of the portal’s technical and program facilities. Users are entitled only to use the information gained from the portal and not to actively participate in the activities of the portal.
  • A user who registers with the portal and pays the annual fee becomes a client. After registration a client acquires the ability to actively cooperate with the portal by entering, uploading and downloading text and or image data about the business entity, its products and services.
  • Please read the following agreement carefully. It includes the general contractual terms, which shall be adhered to by the portal operator/administrator, clients and users and, under which the clients and users are entitled to use and participate in the portal.

Portal operator

  • The portal operator and portal service provider is: goodboog – Global Virtual Catalog Inc (Incorporation Number: BC0751474) with headquarters located at 74533 Kitsilano, V6K 4P4 Vancouver, British Columbia, Canada.

Registration with the portal is not obligatory for users

  • Users not registered as clients can look up business information about business entities, their products and services but are not entitled to use the services provided by the portal operator to the clients (i.e. to enter data about the business entity, their products and services) on the portal. After registration and remittance of the annual fee, the portal operator will provide extended virtual space in the portal to the client and will make available further benefits and services as set out in the basic offer on the portal’s “Introduction”, “What goodboog offers”, “How to use goodboog”, and “Price list”.

Client Submissions

  • In order to promote and maintain the integrity, reputation and good standing of the portal, it is imperative that all the data and information entered by the client to the portal, including data entered to the registration form, be true, consistent and up-to-date. The portal operator reserves the right to verify data entered by a client and actual fact by comparing the entered data with publicly accessible registers and other sources from time to time. Should any serious discrepancy (other than typing errors or spelling mistakes) or breach of any other contractual term be found or an inclusion of a false statement or omission of a material fact with the intent to misrepresent or create a false impression or with the intent to defraud a user or other client, it may result in cancellation of the agreement and termination of the client’s active access to the portal.
  • The client undertakes not to sign in or attempt to sign in to the portal under somebody else’s name or a false name or to otherwise damage the integrity reputation or good standing of the portal or other clients. A client whose username and password, submitted by the operator to the client, is used in order to enter data to the portal, shall be solely responsible for the content and accuracy of the data published in the portal and for any damage which may arise as a result of illegal or false data. The portal operator shall not be responsible for the accuracy or correctness of this data nor for any damages from any cause whatsoever, which may arise as a result of illegal or incorrect data being entered.
  • The client undertakes not to copy, reproduce, offer for sale, sell or resell or otherwise distribute, circulate, publicize or operate any data or parts thereof, for any other purpose other than for its own needs, nor use the data (gained in any form) by means of the portal, or information about third parties gained from the portal for its own commercial activities in competition with the portal - save to order from clients or sell its own products and services to clients.
  • Save for the permitted entering of information about the business entity, its products and services offered, client undertakes not to enter, amend, copy or otherwise modify any part of the portal, accessible by the client, nor to operate, use or launch any automated system, including but not limited to “spiders”, “robots” and “offline readers”. Client agrees not to harvest or collect personally identifiable information, account names or detail from users or clients unless such users or clients expressly offer it for general use.

Data Protection

  • The data information entered by the client in correspondence with the portal operator and which are not to be published in the portal for public use, is confidential and the portal operator shall be obliged to keep it confidential and secure even after the client’s rights to active access to the portal expires. The portal operator shall only use such data exclusively in the scope necessary for operation of the portal and it shall not provide or disclose or sell such data to any third party without prior approval from the client, save when an obligation to provide or disclose shall be legally obliged, especially in relation to breach of contractual terms or according to law.
  • The client is responsible to safeguard the username and password submitted to him by the portal operator. The client is solely responsible for the activity that occurs on his account and the virtual space provided by the portal operator and undertakes to inform the portal operator immediately of any unauthorized activity that may be taking place on his account or his designated virtual space.
  • All data about the client’s business entity designated by the client for publication on the portal will be made publicly available.
  • The client undertakes not to use the portal or personal data gained from the portal for mass sending of unsolicited advertisements or other information (spam) to users or clients.

Lawful Use

  • During any activity connected with portal usage, the client shall be obliged to adhere to international treaties, conventions and generally binding legal regulations of the country or territory in which it operates from or in which it executes its activities and, during operation or execution of the activities, the client undertakes to respect the general moral conventions applicable, especially not to promote or describe the following by any words, text or images in a way that derogates, justifies, approves, extols or propagate any:
    • war or terrorism or other cruel or inhuman activities and violations, reference to race, nationality, ethnicity or hatred or xenophobia.
    • illegal trade with human organs,
    • illegal trade with children, child pornography, child prostitution, enslavement of children or convict labor,
    • illegal usage of, or production of, or distribution of illegal narcotic drugs, poisons precursors or medicines, mushrooms, herbs or other substances, or any product which may contain them,
    • illegal production, distribution and sale of weapons and nuclear materials,
    • prostitution and enslavement of women,
    • corruption, organized crime, money laundering and other criminal behavior or activity,
    • political parties and or movements, which promote or describe the above-mentioned deeds in their programs in a way that derogates, justifies, approves, extols or propagates them,
    • description or describing directly or indirectly, how to manufacture or construct weapons or explosives or any part or component of it, or any chemical weapon or any substance of it or nuclear material or narcotic drug, poison or precursor product, medicine or devices necessary for production of the above-mentioned,
    • vulgar text or image/s to the portal, the meaning of which is contrary to generally accepted social, moral, ethical or religious convention of any nation, race, ethnic group or religion, or which would be offensive to the members of any nation, race, ethnic group or religion to such an extent that it may lead to criminal prosecution and conviction,
    • any texts or images, which could jeopardize the physical, mental or moral development of legally protected minors, or to disturb their mental health, or which would contest holocaust, promote terrorist organizations or political parties and movements, the programs of which lead to suppression of rights and freedoms of citizens or propagate national, race, class, regional or otherwise motivated hatred, or promote representatives of such organizations, parties and movements.

Copyright and Proprietary Rights

  • By uploading and or entering and or submitting any data, text, logos, graphic images, photos, sounds, music, links or interactive media content to the portal the client confirms, represents and or warrants that he either owns all the rights (including but not limited to copyrights, trademarks or trade secrets or any other proprietary rights) to such material or have obtained the necessary licenses, consents or permissions to use and display such materials.
  • The client acknowledges and undertakes to respect the operator’s copyright to the portal, (database of data acquired by operation of the portal), trademarks and all other rights to intellectual property of the portal operator, and undertakes not to modify or remove any copyright symbol or other identification or information regarding copyright or ownership of any datum of the portal operator, or to use the operator’s symbols for marking of foreign products.
  • The client undertakes not to use the portal or information gained from the portal to promote the products or services of other legal or natural entities, which operate similar portals mediating information about business entities, goods, products and services in the portal or outside the portal in direct or indirect competition with the portal or the portal operator.

The Client’s Duties and Obligations

  • The client shall be fully and exclusively responsible for the content of all data it enters to the portal, for their accordance with legal regulations, including copyrights standards, and with these general contracting terms, and for any damage or other harmful consequence which may arise to other clients, states or any other legal or natural entities as a result of incorrect or illegal data published or provided by the client.
  • The client indemnifies the portal operator against all damages, which may arise to the portal operator by any sanction, which may be imposed by any authority for any breach of any legal duty or any contractual obligation of the client.

Technical Support

  • In the event that the client requires technical support, the client, for an explanation of each specific section once signed in to the “Client Portal” on www.goodboog.com, shall click the “(?)” icon on each respective page. For further assistance, the client shall navigate to the “Help” section link located at the top of any page in the “Client Portal”.
  • If the client is still unable to find what they’re looking for, the client may contact the operator goodboog via the “Contact us” section link located at the bottom of any page in the “Client Portal” in order to receive technical support via email.
  • If the client was signed up to the portal through an accredited independent sales representative, the client shall be entitled to 30 minutes of setup and support at no cost to the client.

Portal Operator’s Rights and Obligations

  • The portal operator shall not be held responsible for any damage or other harmful consequences which may arise to the client or any other user as a result of using the data published in the portal or in connection with malfunctioning, falsification or misuse of services or transmissions mediated by the portal, or for wrongful usage of products and or services and or tools offered in the portal, or for possible defects in foreign products, access to which or utilization of which is enabled in the portal.
  • The portal operator reserves the right to amend or modify or suspend providing the services in the portal for a definite or indefinite period, or to terminate service providing without giving notice to the client due to unforeseen circumstances. Where possible the portal operator will give at least 30 day advance notice to clients about prepared changes or amendments to the portal. In the event that portal services are terminated or their provision are interrupted for a period exceeding 30 days, the client shall be entitled to request a refund in writing for a sum equivalent to the unused period of the paid fees. Such request must be made directly to the portal operator and not to any third party, which may have acted as payment agent on behalf of the portal operator.
  • The portal operator reserves the right to amend or otherwise change the contractual terms at any time. In the event of an amendment or change to the contractual terms, the modified contractual terms shall be immediately published on the portal and made accessible to the clients. Should a client not agree with any amendment or change, the client must terminate its registration within 30 days from date of publication. Should the client fail to terminate its registration, it is deemed that the client has agreed to the new contractual terms and it shall be bound to the terms of the amended agreement.
  • The portal operator shall not be responsible for or held liable for any negotiations and or agreements which may be entered into between any clients nor any clients and or users or for any damages from any cause whatsoever which may arise as a result of the usage of the portal.

Cancellation of registration

  • The portal operator reserves the right to cancel the registration of any client or deny any client access to the portal, if such client breaches the General Contractual Terms or breaches any generally binding legal regulations in effect in the territory of any country, in which it operates or executes its activities.
  • Should the client wish to cancel this agreement the client shall give 30 days notice to the portal operator of the client’s intention to cancel the agreement. Any unused balance of subscription fees shall be forfeited.

Jurisdiction

  • This Contract is governed by the laws of Canada, Province of British Columbia and is prepared in accordance with general standards, rules and regulations of international civil law, the USA and the European Union. Any competent court in the Province of British Columbia shall have jurisdiction over any dispute between the portal operator and a client regarding this agreement.
  • Any dispute between clients or a client and any state authority shall be subject to the jurisdiction of the competent courts of the state, on whose territory a breach or transgression of the law or rule has occurred. If the consequences of illegal action occurred in the territory of more states, the courts of all the states shall have jurisdiction. This does not prevent the portal/portal operator from claiming indemnity against any client for any damages caused by such client by virtue of breach of contract or by unauthorized infringement of copyrights or any other illegal act or acts or omission pursuant to this contract, in any jurisdiction throughout the world.

General

  • This agreement together with the terms of use incorporated herein and any amendments or variations thereof that may become in force from time to time forms the entire agreement between the portal operator and the client. Should any court of competent jurisdiction deem any provision hereof invalid then the invalidity of such provision shall not affect the validity of the rest of the agreement unless such invalidation defeat the purpose of this agreement. In such an event the agreement shall be cancelled entirely.

Acceptance

  • By ticking the box next to “I agree with the Contractual Terms” and by clicking on the word “Register” and by using and or visiting this portal you signify your assent to all the terms and conditions in this agreement and the “Terms of Use” contained in the portal which are incorporated herein by reference. Users that do not agree with the “Contractual Terms” shall not be entitled to register as clients and to use the services provided by the operator exclusively to clients.
